The role leads andmanages the provision of the highest standards of Company Secretarial supportand advice to a portfolio of companies, subsidiaries and branches with anappropriate and consistent corporate governance framework.

This job category supports the HSBC Bank plcCompany Secretary, the Group Company Secretary and the Deputy Group CompanySecretary in delivering the Company Secretarial function.

This job drives the highest standards ofcorporate governance globally to support the delivery of Group strategy and tosatisfy the expectations of our stakeholders.

The keyaccountabilities include :

Oversee the day to day management of the teamunder the oversight of the HSBC Bank plc Company Secretary.

Support delivery of the HSBC Holdings plcAnnual General Meeting.

Support the HSBC Bank plc Company Secretary withdelivery of her governance responsibilities in the UK and Europe including inrespect of the Group wide governance framework.

Directand manage Board, Committee and line of business meetings.

Directand manage the corporate and business governance arrangements for subsidiaryand other entity boards.

Overseethe discharge of regulatory obligations for Branches.

Leadand manage the provision of advice, guidance and support on the execution ofcorporate transactions for HSBC companies and subsidiaries.

Provideadvice, guidance and support to the HSBC Bank plc Company Secretary, the GroupCompany Secretary and Deputy Group Company Secretary.

Lead and manage a wide range ofrelationships, at the highest levels, with key internal and externalstakeholders.

Leadand manage the fulfilment of all statutory obligations for companies,subsidiaries and branches.

Supportthe Group Company Secretary and Deputy Group Company Secretary with themanagement of HSBC Holdings plc primary listings.

Supportthe HSBC Bank plc Company Secretary in regard to ongoing debt listingobligations.

Leadand manage change across the Company Secretaries function.


Knowledge of a similar large and complex organisation

Strong knowledge of corporate governance principles, including driving high quality governance standards, via credible and practical experience

Experience of working in a banking environment

Experience of working in a corporate governance function

Experience of working with executive and non-executive directors

Qualified company secretary, lawyer or other relevant professional qualification / experience
