Role The Global Registration Specialist will work within Dechert’s World Passport distribution team, and will regularly interact with third party counsel and clients, as well as with lawyers within the broader Financial Services Group at Dechert.
The Board of Directors of a European fund are ultimately responsible for all matters related to the distribution of the fund, including cross-
border registration for distribution and due diligence with respect to intermediaries involved in the distribution of the product.
As the time involved in managing cross-border registration and due diligence compliance can be significant, Dechert has developed an end-
to-end solution supported by a web-based platform to handle all registration and due diligence needs in an efficient manner (World Passport).
In addition, we have a client regulatory subscription platform that focusses on providing guidance on, inter alia, the private placement of funds globally, and which requires support (World Compass).
In this role, the Global Registration Specialist will work regularly with third party counsel and service providers as well as other Dechert internal departments (such as Practice Group Paralegals, IT, Word Processing etc.
Overview Responsibility for the initial passport application process for client UCITS, UCITS ETFs and AIFs (and where relevant listing applications for UCITS ETFs) in both EU and non-
EU member states for the purposes of the sale and marketing of such products, and advising clients accordingly. Managing (and / or supporting) all ongoing day to day regulatory reporting obligations of passported UCITS, UCITS ETFs and AIFs in order to maintain registration status in accordance with the relevant local regulatory and exchange obligations, and advising clients accordingly.
Advising AIFs, both EU and non-EU products, on the relevant procedures to ensure compliance with the AIFMD. Completing and filing the relevant notifications, on behalf of non-
UCITS products, to the relevant regulatory authorities in order to comply with the AIFMD. Managing initial and ongoing listing requirements of UCITS ETFs for overseas exchanges and ensuring required publications etc.
are made through relevant exchanges and in a timely manner. Preparing quarterly compliance statements in relation to passported funds for circulation to relevant boards.
Continuous review and watching brief of relevant legal and regulatory updates in foreign jurisdictions. Responsibilities in relation to the World Compass platform, as directed by the World Passport and World Compass COO.
Advice to clients on global distribution activities and options available to UCITS and AIFs, by way of private or public offering, in foreign markets including Europe, Asia Pacific, the Americas and the Middle East, including advising on marketing requirements and exemptions available to both UCITS and AIFs.
Preparing detailed sales pitches for prospective clients. Participate in creating and maintaining team procedures. Adapting to varying client needs and processes.
Ability to work with electronic platforms for the creation and maintenance of fund related information. Suggesting improvements to processes.
Assist with miscellaneous projects assigned by World Compass and World Passport COO. Perform any and all other duties as necessary for the efficient functioning of the Department, Office and Firm.

Ability to think critically and analytically in a pressured environment. Strategic focus, self-motivation with an ability to work independently and perform research.
Excellent IT skills (proficient in Microsoft Word, Excel, PowerPoint and PDF). Education and experience Bachelor’s Degree and experience in financial services / the investment management area (preferred) or corporate area.
