Job Description :

Working within the Aviation & Maritime Commercial Services Team, the position is responsible for the review and approval of standard and nonstandard contracts, including terms and conditions, scope of work, liabilities / risk, so as to ensure compliance with internal guidelines and requirements.

Integral to this is to support A&M’s Sales Teams globally in their client negotiations from inception to signature. This role includes pricing negotiations and pricing governance to protect or improve gross margins.

Essential Job Duties and Responsibilities :

  • Draft, maintain, and negotiate all commercial contracts, including license agreements, government contracts, and statement of work and non-disclosure agreements.
  • Provide contractual overviews to new employees of the Commercial Services Team and new hires within the company’s sales teams.
  • Communicate with relevant stakeholders, both internal and external to resolve any contractual issues, changes and revisions.
  • Research, and provide recommendations pertaining to laws affecting the sale and purchase of A&M’s products and services and the laws affecting the purchase by A&M of goods and services.
  • This includes any updates or changes.

  • Assist in the review of materials relating to marketing, sales, public affairs and other communications distributed to the press and the public.
  • Provide support to, and work closely and proactively with, the M&A and International SOS Group’s business, contract management and operation teams, Group Legal, Company Secretarial, Risk Management and Insurance and Compliance teams to contribute to the creation of contract review and signatory policies, procedures and plans.
  • Escalate material commercial arrangements to the International SOS Group’s relevant Legal, Risk Management and Compliance Departments.
  • Coordinate requests for Privacy / Security Information and Audits relating to A&M’s operations.
  • Track contract history and maintain appropriate documentation. Oversee the policies governing the storage of executed contracts in line with International SOS Group Policies and Procedures.
  • Where appropriate, assist the Commercial Services Team with the approval of nonstandard pricing requests.
  • Provide support to Line Manager when required, and undertake any other duties as assigned.
  • Qualification

  • Bachelor’s Degree is required, Juris Doctor, LL.B or B.A. (Law is preferred however other subjects considered with appropriate legal qualifications)
  • Qualified to practice law in a common law jurisdiction or paralegal or legal executive, with above mentioned experience / PQE
  • Familiarity and experience with professional services and sales of goods contracts and ability to draft clear, concise terms and conditions (familiarity of the licensing and regulatory environment governing the commercial aviation and / or maritime industry would be a plus).
  • An ability to work collaboratively and communicate effectively with a variety of people at various levels including senior management, sales, product and operational teams.
  • Ability to give effective Presentations.
  • The ability to negotiate A&M’s preferred terms and manage risk exposure within A&M’s risk tolerance parameters.
  • Ability to balance competing needs between sales and business outcomes.
  • The individual must be proficient in the Microsoft Office suite of products and have the ability to accept and work within agreed upon policies and procedures, and timeframes.
  • Strong drafting, negotiation and research skills (and experience of executing complex / cross border customer and vendor transactions).
  • Demonstrated ability to perform regulatory, commercial, and business research, and provide advice on such.
  • Track record of succeeding in a multi-cultural environment.
