A senior leader responsible for Risk & Compliance across Mercer UK and associated legal entities in the UK. The role holder will develop and own a practical and pragmatic Annual Risk & Compliance Plan which, with Board approval, will set the strategic plan for Compliance advisory and Monitoring activities.

The incumbent will serve as Mercer’s CF10, subject to Board and regulatory approval.

The role holder’s responsibilities will include, but not be limited to, overseeing : a program that ensures compliance with regulations impacting the UK business, Mercer’s UK risk management framework and issues relating to regulatory capital, adherence to risk and compliance policies, cross-

border activities and branches that impact Mercer’s UK business, data protection compliance in the UK in coordination with the privacy team, a programme of monitoring, business partnering and assurance work around professional standards.

The role holder will be responsible for effectively managing Mercer’s relationship with the FCA.

The individual would act as a focal point for the compliance response to any major incident, including (but not limited to) significant regulatory breaches, and to respond to regulatory inquiries.

The role provides strong and positive leadership to the Mercer UK Risk & Compliance team.

The individual will actively engage the UK business from the Board downward and use influencing skills heavily to steer the organisation to consciously manage compliance and other risks as it pursues its growth strategy.

Key business responsibilities

  • Serves as CF10 for Mercer UK and associated registered entities (subject to Board and regulatory approval), and manage Mercer’s day-
  • to-day relationship with the FCA

  • Attendee of UK Mercer Ltd Board, Risk, Remuneration and Audit Committees
  • Maintain primary records relating to the regulated activities of Mercer UK
  • Provides exceptional Risk & Compliance leadership across Mercer UK and associated legal entities, acting as a focal point for compliance matters and ensuring business awareness of regulatory responsibilities
  • Provides exceptional and positive leadership to the Mercer UK Risk & Compliance team, ensuring its effectiveness and efficacy in its operations.
  • The team should provide practical advice for its business stakeholders as well as undertake appropriate monitoring and oversight.

    The role holder should also ensure there is robust scanning of the regulatory horizon to identify impacting change

  • Influence Mercer business leaders from a Board level downwards to promote compliance with regulatory standards and internal policies and procedures
  • Providing timely, concise and relevant reporting on compliance matters and associated risk profile to governance fora and, where required, to individual managers with Approved Person / SMCR responsibilities
  • Develop and own a practical and pragmatic Annual Risk & Compliance Plan which, once approved by the Board, will detail Compliance advisory and Monitoring activities and a risk management framework
  • Ownership and maintenance of compliance policies and procedures that support a culture of integrity, compliance and excellence
  • Manage UK data protection compliance in coordination with the Privacy team
  • Lead Risk & Compliance team response to business and operational incidents such as significant regulatory breaches, and to regulatory inquiries
  • Oversee administration of compliance related training for Mercer UK colleagues tailored to their responsibilities
  • Work effectively with global Mercer Compliance leadership and other regional leadership teams
  • Oversee QA team and activities
  • Oversee Complaints team and activities
  • Maintain responsibility for Risk program within the UK, including oversight of Risk & Governance team, in coordination with Europe CRCO;
  • conduct risk assessments to identify regulatory, operational and reputational risk across the firm’s activities including new products and services

  • Investigate potential violations of compliance policies and the company’s code of conduct
  • Prepare reporting to senior members of the global LCPA team
  • Assisting with other projects may be required from time to time, including support of European and global compliance objectives
  • Key regulatory responsibilities

  • Ensuring compliance with regulations in the UK (or impacting Mercer’s UK business)
  • Together with Board level Approved Persons, to act as the primary liaison for all compliance contact with the FCA and other related regulators in a positive and constructive manner
  • Ensure the timely and accurate submission of regulatory filings and other documents to regulators
  • Likely holder of SMF in respect of Compliance Oversight and Risk Management
  • Assist in the embedding of a culture of openness and compliance within the Firm
  • Ensure that risks to the Firm are identified, assessed and mitigated in accordance with centrally defined risk management methodologies and protocols
  • Oversee the preparation and provision of regular risk related management information, as required by the Board or its Committees
  • Advising UK directors and other senior managers of regulatory responsibilities
  • Developing appropriate relationships with Mercer UK’s non-executive directors
  • Developing procedures, controls and protocols relating to the regulated activities of Mercer UK
  • Skills and competencies required or desired for this role

    Proven and extensive experience compliance leadership experience in FCA regulated firms with associated knowledge of FCA rules and regulatory environment, and a track record of balancing various multi-

    dimensional responsibilities, including :

  • Serving as a trusted advisor to the company’s Board and Executive management on risk and compliance matters of critical importance to the enterprise
  • Exhibiting experience and deep expertise in the development, oversight and operation of a risk framework, including regulatory capital requirements (ICAAP)
  • Exhibiting experience and deep expertise in the development, oversight and operation of a compliance programme in the UK financial services industry
  • Demonstrating experience with prudential / capital regulation and operational risk management strategies
  • Serving as a primary point of contact (CF10) with the FCA in a relationship-managed setting; experience interacting with other regulators;
  • demonstrating an ability to appropriately influence the company’s regulatory agenda

  • Education

    University Degree / Further Education in a related subject required / or proven relevant experience
