ROLE OVERVIEW

    We are looking for an experienced Senior M&A integration Manager to oversee the seamless transitions of our new acquisitions into the Croud Group .

    Please note Croud operates a hybrid working model with a minimum of 2 days a week based in our London office and the remaining days from home if you wish.

    RESPONSIBILITIES

  • Responsible for establishing and co-ordinating the overall integration processes, templates, design, mechanics and protocols to be followed by all heads of departments and relevant parties involved within the integration process
  • Principal day-to-day responsibility and ownership of the project plan for all things related to M&A integration
  • Deep integration expertise with end-to-end support for our management team / heads of department, to maximise and protect the value of our acquisitions along the deal lifecycle from pre-deal integration planning (Day 1 / 100-Day ), through to integration execution (post-acquisition)
  • In the context of the group operating model, define the integration strategy and target operating model required to deliver bottom-line results;
  • ensuring those results are captured and sustained

  • Work closely with the Business Integration Lead to manage the overall process and adapt the templates and models to different acquisition companies whilst building an overall playbook of how to deliver success
  • Thorough understanding, application and acceleration of M&A synergies i.e., the costs and value generated through an acquisition along with associated plans, risks and concerns for the delivery of base and stretch case targets
  • Identify and capture opportunities for value creation, ensuring these new sources of value are identified, defined, logged and prioritised for action with relevant heads of department / Target contract
  • Responsible for formulating key integration KPI’s ensuring the success of M&A integration is measured and tracked on an on-going qualitative and quantitative basis
  • Work with the M&A team to ensure seamless transition from pre Completion, agreed M&A terms to Vendor point of contact and beyond
  • PERSON SPECIFICATION

  • Demonstrable, in depth experience in M&A integration, synergy realisation and / or performance improvement within the M&A ecosystem (i.
  • e., consulting, accounting firms, internal integration teams etc)

  • Strong knowledge in M&A integration including strategy, operational transformation and value creation and minimising transaction risk
  • Well versed in understanding internal company functions required so that heads of departments can be effectively steered through the transition
  • Strong facilitation and communication skills
  • Excellent interpersonal skills and experience to successfully engage and manage a multiple of stakeholders
  • Ability to recognize and appreciate the emotional and cultural issues involved within a M&A process, handle them professionally and on a personal level constructively
  • Desirable

  • Professional qualifications welcome (ACA / ACCA / CFA etc)
  • Experience in a buy-side integration role (proven track record of integration of Targets) advantageous
  • Experience working within an organisation that has gone through a company sale as an integration specialist would be highly desirable i.
  • e., key KPI’s, demonstrating integration success and value

  • Standard hours are from 9.00am to 5.30pm, there’s flexibility if agreed in advance with your line managers (it may also be necessary on occasions to work outside of these hours).
